Terms of Service
1. Acceptance
These Terms of Service (“Terms”) constitute a legally binding agreement between you and Sudo Automations Private Limited, a company incorporated under the Companies Act, 2013, India (“Sudo”, “we”, “us”, “our”). By accessing or using the Sudo service at heysudo.xyz or through any associated application, you agree to these Terms and our Privacy Policy.
If you do not agree to these Terms, do not use the service.
2. The Service
Sudo is a hosted AI home assistant for households. It accepts requests over chat, voice, and WhatsApp, routes them through large-language-model providers, and may interact with third-party services (such as Google Calendar). The service is provided on an as-is basis and may evolve over time. We may add, modify, or discontinue features with reasonable notice.
3. Eligibility
- You must be at least 18 years of age and legally capable of entering into binding contracts under Indian law.
- If you add household members who are minors, you must be the parent or legal guardian of those minors and you accept responsibility for their use of the service.
- By using Sudo, you represent and warrant that you meet these eligibility requirements.
4. Account Responsibility
- You are responsible for maintaining the confidentiality of your sign-in credentials and all paired devices on your account.
- You must notify us immediately at hello@heysudo.xyz upon becoming aware of any unauthorised access to your account or any security breach.
- Accounts found to be in violation of these Terms may be suspended or permanently terminated at our discretion.
- You are responsible for all activity that occurs under your account.
5. Acceptable Use
You agree not to use the Sudo service to:
- Violate any applicable Indian or international law or regulation
- Harass, abuse, threaten, stalk, or harm any individual
- Engage in fraud, deception, or misrepresentation
- Endanger the safety or wellbeing of any person
- Generate, store, transmit, or distribute content that sexually exploits or endangers minors
- Reverse engineer, decompile, disassemble, or attempt to derive source code of any part of the service
- Scrape, index, or systematically harvest data from the service without our written consent
- Overwhelm, disrupt, or degrade service infrastructure through denial-of-service attacks or similar means
- Circumvent, disable, or interfere with security features or content filters
- Impersonate another person, entity, or Sudo employee
- Use the service for any commercial purpose without our express written agreement
We reserve the right to investigate suspected violations and to remove content or restrict, suspend, or terminate accounts accordingly.
6. Family Members and Household Use
- You may add household members, including minor family members, to your account.
- By adding a household member, you confirm that you have the authority to include them and to share their personal information with Sudo for the purpose of operating the household assistant.
- You are responsible for the service usage of all persons added to your household account, including compliance with these Terms.
- Minor household members may only use the service under your active supervision and with your consent as their parent or legal guardian.
7. Third-Party Services
- Connecting external services (e.g., Google Calendar, WhatsApp Business) subjects you to those providers’ own terms of service and privacy policies, in addition to these Terms.
- Sudo does not control, and is not responsible for, the availability, accuracy, content, or actions of any third-party service.
- We may cease supporting a third-party integration at any time, with reasonable notice where practicable.
8. AI Output — Not Professional Advice
Sudo’s responses are generated by large-language models and may be inaccurate, incomplete, or out of date.
Do not rely on Sudo for legal, medical, financial, safety-critical, or emergency decisions. Always verify important information from authoritative and qualified sources. In an emergency, contact emergency services directly (India: 112).
Sudo is not a licensed medical, legal, or financial adviser. Nothing in Sudo’s responses constitutes professional advice of any kind.
9. Fees and Pricing
The service is currently provided free of charge during our early access phase. We will provide reasonable advance notice — via email or in-app notification — before introducing any paid tiers, allowing you the opportunity to discontinue use before charges apply. Current pricing information (if any) is posted at heysudo.xyz/pricing.
10. Intellectual Property
- Sudo Automations Private Limited retains all rights, title, and interest in and to the Sudo software, platform, brand, trademarks, and all content we create or provide.
- You retain ownership of content you submit to the service (including conversations and family data), but by submitting that content you grant Sudo a limited, non-exclusive, royalty-free, worldwide licence to process, store, reproduce, and display that content solely to the extent necessary to provide the service to you.
- No rights in Sudo’s intellectual property are transferred to you by these Terms or by your use of the service.
11. Disclaimers
To the fullest extent permitted by applicable Indian law, the Sudo service is provided “as is” and “as available”, without warranties of any kind, whether express, implied, statutory, or otherwise.
We disclaim all implied warranties including: merchantability, fitness for a particular purpose, accuracy, completeness, reliability, non-infringement, and uninterrupted availability.
We do not warrant that: (a) the service will meet your requirements; (b) the service will be uninterrupted, timely, secure, or error-free; or (c) any defects will be corrected.
12. Limitation of Liability
To the maximum extent permitted by applicable Indian law, Sudo Automations Private Limited and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages — including loss of profits, data, goodwill, or business opportunity — arising out of or in connection with your use of or inability to use the service.
Our total aggregate liability for any claim arising out of or in connection with these Terms or the service will not exceed the greater of: (a) amounts actually paid by you to Sudo in the twelve (12) months preceding the claim, or (b) INR 1,000 (Indian Rupees One Thousand).
Nothing in these Terms excludes or limits liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any liability that cannot be excluded or limited under applicable Indian law.
13. Indemnity
You agree to indemnify, defend, and hold harmless Sudo Automations Private Limited and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use or misuse of the service; (b) your violation of these Terms; (c) your infringement of any third-party rights; or (d) your violation of any applicable law.
14. Data Protection
Your use of the service is subject to our Privacy Policy and Cookie & Tracking Policy. Sudo Automations Private Limited processes personal data as a Data Fiduciary under the Digital Personal Data Protection Act, 2023. You have rights of access, correction, erasure, consent withdrawal, grievance redressal, and nomination as described in our Privacy Policy.
Our designated Grievance Officer under the DPDPA 2023 is Asis Panda, reachable at asis@heysudo.xyz. You may contact the Grievance Officer to raise data protection complaints, withdraw consent, or request data erasure. We will acknowledge within 48 hours and aim to resolve within 30 days.
15. Termination
- By you: You may delete your account at any time through the service settings. Deletion initiates our standard data retention and deletion procedures as described in our Privacy Policy.
- By us: We may suspend or terminate your access if: (a) you violate these Terms; (b) we are required to do so by applicable law or court order; (c) we reasonably believe your conduct harms users, third parties, or Sudo.
- On termination, your right to use the service ceases immediately.
- The following provisions survive termination: Sections 10, 11, 12, 13, and 16.
16. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of India, without regard to conflict-of-law principles.
Step 1 — Amicable Resolution: The parties will first attempt to resolve any dispute in good faith. Either party may initiate this process by written notice. If the dispute is not resolved within 30 days of such notice, either party may proceed to Step 2.
Step 2 — Arbitration: If amicable resolution fails, the dispute will be referred to and finally resolved by binding arbitration under the Arbitration and Conciliation Act, 1996 (as amended). Seat and venue: Bengaluru, Karnataka, India. Language: English. Tribunal: a sole arbitrator agreed by both parties; failing agreement within 14 days, appointed in accordance with the Act.
Step 3 — Interim Relief: Courts at Bengaluru, Karnataka shall have exclusive jurisdiction to grant interim and injunctive relief pending constitution of the arbitral tribunal.
Consumer Rights: Nothing in this clause affects your statutory rights as a consumer under the Consumer Protection Act, 2019, or your right to approach an appropriate consumer forum.
17. Changes to These Terms
We may update these Terms from time to time. We will post updated Terms at heysudo.xyz/terms with an updated “Last Updated” date. For material changes, we will provide reasonable advance notice via email or in-app notification. Continued use of the service after the effective date of any changes constitutes acceptance of the updated Terms.
18. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms. The remaining provisions will continue in full force and effect.
19. Waiver
Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorised representative of Sudo Automations Private Limited.
20. Entire Agreement
These Terms, together with our Privacy Policy, Cookie & Tracking Policy, and Refund Policy, constitute the entire agreement between you and Sudo Automations Private Limited with respect to the service and supersede all prior agreements, representations, and understandings.
